These terms set out the basis on which Verdwell provides advisory services and governs how this website may be used. Please read them at your convenience before engaging with our services.

For the purposes of these Terms, the following definitions apply throughout:

  • "Agreement" — these Terms & Conditions, together with any engagement letter or service proposal exchanged between the parties.
  • "Service" / "Services" — advisory sessions, planning engagements, and retained partnership arrangements provided by Verdwell as described on this website.
  • "We" / "Us" / "Our" — Verdwell, operating from Jalan Wong Ah Fook 71, 80000 Johor Bahru, Johor, Malaysia.
  • "User" / "You" / "Your" — any individual or organisation accessing this website or engaging with our Services.
  • "Content" — any text, reports, plans, summaries, or materials produced by Verdwell in the course of delivering Services.
  • "Website" — the website accessible at verdwell.world and any associated subdomains.

Acceptance of Terms

By accessing this Website or engaging Verdwell for Services, you acknowledge that you have read these Terms and agree to be bound by them.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you should refrain from using the Website or engaging our Services.

Service Description

Verdwell offers advisory services directed at engineering teams and technology organisations looking to better understand and plan their AI compute usage. Our current service range comprises:

Workload Review Session — RM 510

A single advisory session reviewing how your team's AI workload uses available compute, accompanied by a written summary. Scope is limited to one session and follow-up notes.

Optimisation Planning Engagement — RM 1,750

A three-week engagement covering discovery, a documented optimisation plan, and a review session. Suited to teams scaling workloads.

Advisory Partnership — RM 4,550 per quarter

A quarterly retained arrangement providing recurring advisory reviews and decision support across optimisation cycles.

Services are delivered primarily to organisations located in Malaysia, though remote engagements with teams elsewhere may be considered on enquiry. Service availability is subject to capacity; Verdwell reserves the right to decline engagements at its discretion.

User Responsibilities

When using this Website or engaging our Services, you agree to:

  • Provide accurate and complete information when making enquiries or booking engagements.
  • Use this Website only for lawful purposes and in a manner consistent with applicable laws in Malaysia.
  • Not attempt to access, probe, or disrupt any system or network associated with this Website.
  • Not reproduce, redistribute, or commercially exploit any Content produced by Verdwell without prior written agreement.
  • Maintain the confidentiality of any advisory materials shared with you during the course of an engagement.
  • Not use this Website in any way that may damage, overburden, or impair its performance.

Intellectual Property

All materials on this Website — including text, layout, graphics, and structural elements — are the property of Verdwell or its content contributors. These are protected under applicable Malaysian intellectual property laws.

Verdwell grants you a limited, non-exclusive, non-transferable licence to access and view Website content for your personal or internal business purposes. You may not copy, modify, republish, or create derivative works from any part of this Website without prior written consent.

Deliverables produced during a paid engagement — such as written summaries, planning documents, and session notes — are provided for your internal use. Redistribution or publication of these materials requires written agreement from Verdwell.

Payment Terms

All fees are stated in Malaysian Ringgit (RM) and are subject to confirmation at the time of engagement. Published prices are indicative and apply to standard scopes.

Payment is accepted via bank transfer or such other methods as agreed in writing. Fees are non-refundable once work has commenced, unless Verdwell is unable to fulfil its obligations due to circumstances within its control.

For the Advisory Partnership, either party may choose not to renew at the end of a quarter by providing notice at least 14 calendar days before the renewal date.

Service-Specific Terms

Scope and Delivery

The scope of each engagement is agreed prior to commencement. Requests to extend scope mid-engagement may be subject to additional fees and revised timelines, to be mutually agreed in writing.

Scheduling

Sessions are scheduled by mutual agreement. If you need to reschedule, please provide at least 48 hours' notice. Repeated no-shows or late cancellations may affect the ability to complete a fixed-scope engagement within its agreed period.

Client Responsibilities

Effective advisory depends on your team's active participation. You agree to provide relevant context, make appropriate personnel available for sessions, and review materials in a timely manner. Delays caused by lack of availability on your side may affect delivery timelines.

Confidentiality

Both parties agree to treat information shared during the course of an engagement as confidential, using it only for the purposes of the engagement and not disclosing it to third parties without consent.

Disclaimers

This Website and its content are provided on an "as is" basis. Verdwell makes no representations about the completeness, accuracy, or suitability of any information presented here for any particular purpose.

Advisory services reflect the professional perspective and experience of Verdwell's consultants based on information available at the time. They do not constitute a warranty that any particular outcome will be achieved. Results from implementing advisory recommendations will depend on your team's context, infrastructure, and execution.

Nothing on this Website or in Verdwell's engagements constitutes legal, financial, or technical engineering advice. Where appropriate, you should seek qualified specialists in those fields.

Limitation of Liability

To the extent permitted by Malaysian law, Verdwell's total liability to you in connection with any engagement shall not exceed the fees paid for that specific engagement.

Verdwell shall not be liable for any indirect, incidental, or consequential losses, including but not limited to loss of profit, loss of data, or loss of business opportunity arising from reliance on advisory services or Website content.

Nothing in these Terms limits liability that cannot be excluded by law, including liability for fraud, gross negligence, or wilful misconduct.

Indemnification

You agree to indemnify and hold harmless Verdwell, its consultants, and associates from any claims, costs, or losses arising from:

  • Your breach of these Terms.
  • Inaccurate or incomplete information provided to Verdwell during an engagement.
  • Your use of advisory outputs in a manner inconsistent with the agreed scope or these Terms.
11 —

Termination

Either party may terminate an engagement by written notice. Where a fixed-scope engagement is terminated early by the client, fees for work already completed are payable. Where terminated early by Verdwell without cause, a proportionate refund of prepaid fees will be arranged.

For the Advisory Partnership, either party may elect not to renew at the end of a quarter with 14 days' written notice. Early termination within a quarter by the client does not entitle the client to a partial refund unless agreed otherwise.

Provisions relating to intellectual property, confidentiality, disclaimers, and liability survive the termination of any engagement.

Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or from a service engagement shall be subject to the jurisdiction of the courts of Malaysia, with Johor Bahru as the preferred venue.

Before initiating formal proceedings, both parties agree to attempt to resolve any disagreement informally. Please contact us at [email protected] with a description of the concern, and we will respond within 10 working days.

If informal resolution is not achieved within 30 days, either party may pursue formal remedies as appropriate under Malaysian law, including mediation through the Malaysian Mediation Centre.

13 —

General Provisions

Entire Agreement

These Terms, together with any engagement-specific proposal or letter, constitute the entire agreement between the parties and supersede all prior discussions on the same subject matter.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

Waiver

A failure by Verdwell to enforce any provision does not constitute a waiver of the right to enforce it on a subsequent occasion.

Assignment

You may not assign your rights or obligations under these Terms without Verdwell's prior written consent. Verdwell may assign rights to a successor entity in the event of a business transfer.

Changes to These Terms

Verdwell may update these Terms from time to time to reflect changes in our services or applicable law. The revised version will be published on this page with an updated "Last Updated" date.

We recommend checking this page periodically. Continued use of this Website or ongoing service engagements after changes have been posted indicates acceptance of the revised Terms. For active engagements, material changes will be communicated directly.
